OmniElite Performance LLC ("OmniElite," "we," "us," or "our") provides access to membership-based health, wellness, performance, and healthcare-related services subject to applicable United States laws and regulations.

Use of OmniElite's website, membership, and services is subject to the legal, regulatory, licensing, sanctions, and geographic restrictions described below.

1. Compliance With Applicable Law

OmniElite operates in accordance with applicable federal, state, and local laws and regulations.

2. Geographic Availability of Healthcare Services

OmniElite's website may be accessible from locations where OmniElite healthcare services are not currently available.

Access to the website does not mean that medical or healthcare services are legally available in your location.

Healthcare services are available only in jurisdictions where the applicable healthcare provider is appropriately licensed, registered, or otherwise legally authorized to provide the requested services.

Certain services may therefore be unavailable based on a member's physical location at the time healthcare services are provided.

3. Telehealth Restrictions

Telehealth services are subject to federal and state laws, professional licensing requirements, prescribing requirements, standards of care, and other healthcare regulations.

Before providing healthcare services, OmniElite or an affiliated healthcare provider may be required to verify your identity, age, physical location, medical information, or other information necessary to determine whether services may legally and appropriately be provided.

OmniElite does not guarantee that every service will be available in every state or jurisdiction.

4. Laboratory, Prescription, and Other Service Restrictions

Availability of laboratory testing, diagnostic services, prescriptions, medications, pharmacy services, and other healthcare-related services may vary by location.

A healthcare provider must independently determine whether a particular treatment, prescription, laboratory test, or other service is medically appropriate and legally permitted.

Membership in OmniElite does not guarantee that a particular medication, prescription, laboratory test, treatment, or healthcare service will be ordered, prescribed, recommended, or available.

5. U.S. Sanctions and Export Restrictions

OmniElite complies with applicable United States economic sanctions, trade restrictions, and export-control requirements.

OmniElite's services may not be accessed, purchased, exported, re-exported, transferred, or otherwise provided in violation of applicable U.S. laws or governmental restrictions, including sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC") and applicable U.S. export-control laws.

You may not use OmniElite's website or services if doing so would cause OmniElite or another party involved in providing those services to violate applicable sanctions, export controls, or other legal restrictions.

6. Restricted Persons and Jurisdictions

OmniElite may prohibit or restrict transactions or services involving individuals, entities, countries, territories, or jurisdictions that are subject to applicable U.S. sanctions, embargoes, export restrictions, or other governmental restrictions.

OmniElite may screen transactions or users when reasonably necessary for legal, regulatory, fraud-prevention, banking, or payment-processing purposes.

We may decline or cancel a transaction or restrict access to services when we reasonably believe completing the transaction or providing the service could violate applicable law or a legally required restriction.

7. No International Availability Representation

Unless OmniElite expressly states otherwise, our healthcare and membership services are intended for eligible individuals receiving services within the United States.

The fact that the OmniElite website may be accessible outside the United States does not constitute an offer to provide healthcare or other regulated services in another country or jurisdiction.

Individuals accessing the website from outside the United States are responsible for complying with laws applicable to their location.

8. No Unauthorized Resale or Transfer

OmniElite memberships, healthcare services, prescriptions, laboratory orders, member resources, and other services are intended for the individual or account for whom they are issued.

They may not be resold, transferred, distributed, exported, or used on behalf of another person where doing so would violate applicable law, provider instructions, membership terms, or other restrictions.

Prescription medications, if prescribed, are for the individual patient for whom they were prescribed and may not be transferred, shared, resold, or distributed to another person.

9. Payment and Transaction Compliance

Transactions may be reviewed, declined, delayed, refunded, or canceled when reasonably necessary to comply with applicable law, fraud-prevention requirements, sanctions screening, banking requirements, payment-network rules, or payment-processor requirements.

Submission of payment does not guarantee acceptance of a membership, healthcare service, laboratory order, or other transaction if legal or regulatory requirements prevent OmniElite from providing the requested service.

10. Changes in Availability

Healthcare laws, professional licensing requirements, prescribing rules, laboratory requirements, sanctions, and other regulatory requirements may change.

As a result, OmniElite may modify the geographic availability, scope, or conditions of its services without prior notice when necessary to comply with applicable law or regulatory requirements.
